TeamLead reserves the right to modify, change and/or amend these Terms from time to time. The right to modify, change and/or amend the Site Terms is exclusive to and within the sole and exclusive discretion of TeamLead. Any changes, modifications and/or amendments to these Terms will be immediately effective upon the posting of the revised terms to the Site. Your agreement to these Terms includes your agreement that you agree that the posting of any such changes, modifications and/or amendments constitutes sufficient notice to you of the changes, modifications and/or amendments. We recommend and you acknowledge that it is your responsibility to review these Terms regularly. By using the Site following any modifications to these Terms, you agree to be bound by any such modifications.
This Site, and its content (including HTML text, graphics, other files, code, software layout, designs, forms, templates, artwork, photographs, images, document layouts, text, fonts, and other information, either alone and/or as compilation thereof (collectively, the “Content”) contains trademarks, service marks, and copyrighted materials and other intellectual property rights (collectively “Intellectual Property”) of TeamLead and/or the parties from whom TeamLead has licensed such property, and is protected by United States, international and other laws. Your use of this Website and/or any Content does not convey to you or any other person an interest of any kind to the Content. TeamLead reserves the right to add to, delete from, or modify any part or all of the Content at any time without prior notice. Except as expressly permitted by these Terms, none of the materials and intellectual property described herein may be copied, reproduced, distributed, republished, downloaded, displayed, posted or transmitted in any form or by any means, including, but not limited to, electronic, mechanical, photocopying, recording or otherwise, without TeamLead’s or the respective intellectual property owner’s prior written consent.
TeamLead™ is a trademark of TeamLead Technology, Inc., and may not be copied, imitated or used, in whole or in part, without the prior written permission of TeamLead. All other trademarks, registered trademarks, product names and company names or logos mentioned on the Site are the property of their respective owners.
By transmitting User Content to TeamLead or otherwise making User Content available on or through the Site, you grant TeamLead a royalty-free, world-wide, perpetual, irrevocable, non-exclusive and fully sub-licensable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute and display that User Content for the purpose of providing the services requested by you.
You agree that you will not send, upload, post or otherwise transmit to TeamLead any User Content that contains material that: : (i) infringes any proprietary rights of any party or person; (ii) is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, deceptive, fraudulent, hateful, or invasive of another’s privacy; (iii) victimizes, harasses, degrades, or intimidates an individual or group on the basis of race, ethnicity, gender, religion, sexual orientation, age, or disability; (iv) contains unsolicited or unauthorized advertising, promotional materials, “spam,” “chain letters,” or any other form of solicitation; or (v) contains software viruses or any other computer code, files or programs that may interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment or contribute to any other similarly destructive activity. You further agree that you will not: (i) impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity; (ii) forge or otherwise manipulate User Content in order to disguise the origin of any User Content; (iii) interfere with or disrupt the Site or servers or networks connected to the Site, or disobey any requirements or policies of networks connected to the Site; (iv) infiltrate or otherwise seek to gain unauthorized access to, or compromise the integrity of, the Site; (v) collect or store information about the Users of the Site or the User Content posted by others on the Site or use such information for any purpose inconsistent with the purpose of the Site; or (vi) violate any applicable local, state, national or international law or regulation.
TeamLead does not pre-screen or review User Content posted or made available on or through the Site. Nevertheless, TeamLead reserves the right, in its sole discretion, to refuse, edit or remove any User Content, in whole or part, which in TeamLead’s judgment does not comply with these Terms, is illegal, or is otherwise undesirable, inappropriate, or inaccurate. TeamLead is not responsible for any decision, lack of decision or delay in editing or removing User Content.
Disclaimer of Warranties
THIS SITE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OR CONDITION OF ANY KIND, EITHER EXPRESS OR IMPLIED. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW IN NO EVENT WILL TEAMLEAD, ITS OFFICERS, DIRECTORS, EMPLOYEES, PARENTS, AFFILIATES, SUCCESSORS OR ASSIGNS, BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY (i) FOR ANY INDIRECT, DIRECT, SPECIAL, PUNITIVE, INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF PROGRAMS OR INFORMATION, AND THE LIKE), OR ANY OTHER DAMAGES ARISING IN ANY WAY OUT OF THE AVAILABILITY, USE, RELIANCE ON, OR INABILITY TO USE THE SITE, EVEN IF TEAMLEAD OR ITS AGENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE FORM OF ACTION.

By using the Site and/or any of its Contents, you agree that, to the extent permitted by law, you will defend, indemnify and hold TeamLead, its affiliates, officers, directors and employees harmless from any and all claims, liabilities, costs and expenses, including reasonable attorneys’ fees, arising in any way from your use of the Site, any violation of these Terms by You, or any User Content you transmit on or through the Site.
It is TeamLead’s policy to respond to clear notices of alleged copyright infringement that comply with the United States Digital Millennium Copyright Act (DMCA). If we remove or disable access in response to such a notice, we will make a good-faith attempt to contact the owner or administrator of the affected site or content so that they may make a counter notification pursuant to Sections 512(g)(2) and (3) of the DMCA. We may also document notices of alleged infringement on which we act.

The Site Terms and your use of this Website shall be governed by and construed in accordance with the laws of the State of California, without resort or giving effect to conflict of law provisions. Regardless of where you access this site, you agree that any action at law or in equity arising out of or relating to these Site Terms and/or your use of this Website shall be filed and adjudicated only in the federal or state courts located in Los Angeles, California, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction and venue of such courts over any suit, action or proceeding arising out of or under these Site Terms and or your use of this Website. This Agreement is not governed by the United Nations Convention of Contracts for the International Sale of Goods, the application of which is expressly excluded.
These terms constitute the entire agreement between TeamLead and you with respect to your use of the Site. If for any reason a court of competent jurisdiction finds any provision of the agreement or portion thereof, to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of the agreement, and the remainder of this agreement shall continue in full force and effect.
TeamLead reserves the right to suspend or terminate your right to utilize the services made available through this Website in the event that it determines or has reasonable grounds to suspect that you are in violation of the Site Terms. Notwithstanding any of these Site Terms that may suggest otherwise, TeamLead reserves the right, without notice and in its sole discretion, to terminate your right to use this Website for any reason or no reason at all, and to block or prevent future access to and use of this Website by you. In the event your right to use this website is terminated, these Site Terms shall continue to apply to any prior use of the Site.
Not Intended for Children
This site is not intended for persons under 13 years of age. We do not knowingly solicit or collect personal information from or about children, and we do not knowingly market our products or services to children.
